Mr. Corti has provided to the Company and, upon request, will provide any security holder of the Company or the SEC staff with information regarding the number of shares sold at each price within that range.
( 2)  Consists of (a) 54,000 shares of the Company's common stock and (b) 11,000 restricted stock units, each representing the right to receive one share of the Company's common stock.
( 3)  The shares of the Company's common stock are held jointly by Mr. Corti and his spouse, who share voting and investment power with respect thereto.
